What Type of Company Should You Form in Japan?
There are three main types of companies and one type of legal structure that can be formed in Japan.
- Kabushiki Kaisha, often shortened to K.K., is a joint-stock company and is considered the most respected company in Japan.
- A Branch office, as the name indicates, is a branch of an overseas company. This type of structure can make sense for certain types of businesses.
- Limited Liability Company or Godo Kaisha in Japanese; often referred to as a G.K. company. Setting up a G.K. company in Japan has a lower startup cost and less stringent requirements than other types of companies.
- Representative Office: If you want to employ one or two people in Japan without creating a company, you may want to consider making a Representative Office. The advantage of this legal structure is that the Representative Office does not need to be registered with the Legal Affairs Bureau or Tax Office since it does not pay taxes in Japan. This structure does have some limitations, though. For example, a Japan Representative Office’s activity is limited to representation and information gathering about the Japanese market. A Representative Office cannot be engaged in sales or marketing activity in Japan.

Transaction structuring
A structured transaction is a series of transactions broken up from a more significant sum to avoid reporting requirements under the Bank Secrecy Act (BSA), which requires financial institutions to report all transactions of $10,000 or more.
Licensing requirements
Licensing requirements are any provisions of law, rule, regulation, or formal order of the department which apply to facilities concerning initial or continued authority to operate.
Regulatory issues
Regulatory Issues are any set of facts or circumstances under which either party’s access to, provision of, or use of, the System results in a violation of any Law or gives rise to regulatory action or a reasonable belief by a party to this Agreement that such a violation or regulatory action is likely to occur.
Domestic representative office establishment
The representative office is the easiest way of establishing an office in Japan and is typically used when a foreign company wants to conduct market research in Japan before committing to a branch or subsidiary. Under Japanese law, a representative office can only engage in the limited business activities of purchasing and storing assets and auxiliary services such as advertising, information gathering, and market research.
A representative office cannot participate in sales activities but can supply information to distributors, communicate prices and terms of sale and identify sales opportunities. There is no legal restriction on the number of employees a representative office can have, and as it is considered an extension of the parent company, there are no shareholding requirements or restrictions.
There are no legal registration requirements for a representative office, and there is no requirement to report the direct inward investment to the Ministry of Finance via the Bank of Japan. This is currently required under the Foreign Exchange Law for branch entities.
